Public Sales Contract

This public offer contract serves as the Sales Agreement (hereinafter referred to as the "Agreement") between the Aurora Lilot Ukraine online store (website auroralilot.com.ua), hereinafter referred to as the "Seller," and the user of the online services of auroralilot.com.ua, hereinafter referred to as the "Buyer." It establishes the main terms for ordering, purchasing, and delivering goods through the auroralilot.com.ua website under the terms specified in this Public Sales Contract.

According to Articles 633, 641, and 642 of the Civil Code of Ukraine (hereinafter referred to as the "CCU") and the Rules for Selling Goods by Order Outside Retail and Office Premises, approved by the Ministry of Economy of Ukraine Order No. 103 dated April 19, 2007, the "Seller," by placing this Public Sales Contract for Goods, offers (makes an offer) to individuals and legal entities to purchase goods listed on the auroralilot.com.ua website. The "Buyer," by acting to purchase the Goods, accepts the terms of this Public Sales Contract for Goods.

1. Definitions

1.1. Aurora Lilot Ukraine Online Store – the website auroralilot.com.ua.

1.2. Public Offer (hereinafter referred to as the "Offer") – a public proposal by the Seller, addressed to an indefinite number of persons, to conclude a sales agreement (hereinafter referred to as the "Agreement") for goods via remote means on the terms contained in this Offer, including all Appendices that may be additionally agreed upon with the Buyer.

1.3. Order – the Buyer's decision to order goods and have them delivered, made via the online store auroralilot.com.ua or any other ordering method.

1.4. Acceptance – the Buyer's acceptance of the Offer, providing the Seller with full and unconditional consent to the proposal to conclude this Public Sales Contract for Goods under the conditions stipulated in this Agreement. This acceptance is formalized in one of the following ways:

  • By orally ordering goods through the Seller’s manager via phone +38 (077) 006 07 08;

  • By sending the Buyer’s Order for Goods through the system on the auroralilot.com.ua website.

Upon receipt of the Order from the Buyer, the Agreement is considered concluded.

1.5. Courier Delivery – the direct transfer of Goods by a delivery service employee, courier, or shipping agent to the Buyer at the location specified as the delivery address, either free of charge or for a fee.

1.6. Seller – an individual entrepreneur or legal entity (specified in payment invoices) that owns or distributes the Goods and intends to sell them via the auroralilot.com.ua website.

1.7. Buyer – any individual, legal entity, or individual entrepreneur under applicable international and Ukrainian law who visits the auroralilot.com.ua website and intends to purchase Goods.

2. General Provisions

2.1. This Agreement is a public offer and does not require a signature. A public offer agreement has the same legal force as a written agreement. It contains all essential terms for organizing sales remotely and offline, meaning via the Internet or in a showroom, without requiring the Buyer to physically inspect the Goods in person.

2.2. The Seller conducts retail and wholesale sales of items through the auroralilot.com.ua online store.

2.3. Under Article 642 of the CCU, the Buyer’s full and unconditional acceptance of the terms of this Offer (public offer), confirming the conclusion of the Sales Agreement on the terms below, is the fact of placing and confirming the Order.

2.4. By placing an Order, the Buyer confirms their agreement and unconditional acceptance of the terms of this Offer.

2.5. By concluding the Agreement (i.e., accepting the existing Offer terms by placing an Order), the Buyer confirms the following:

a) The Buyer is fully aware of and agrees to the terms of this Offer, including the content of this Agreement, the procedure for accepting claims, the characteristics of the Goods, the price of the Goods, the terms of payment for the Goods, the terms of delivery and payment for such delivery, warranty obligations, and more. b) The Buyer consents to the collection, processing, and transfer of personal data under the terms outlined below in the Notice of Collection, Processing, and Transfer of Personal Data. Consent to process personal data remains valid throughout the term of the Agreement and indefinitely after its termination. Furthermore, by concluding the Agreement, the Buyer confirms they have been informed (without additional notification) about their rights under the Law of Ukraine "On Personal Data Protection," the purposes of data collection, and that their data is transferred to the Seller to fulfill the Agreement’s terms, facilitate mutual settlements, and provide invoices, acts, and other documents. The Buyer also agrees that the Seller may provide access to and transfer their personal data to third parties without additional notification, maintaining the original purpose of processing such data. The list of the Buyer’s rights as a data subject under the Law of Ukraine "On Personal Data Protection" is known and understood.

2.6. Within this Agreement, the sample product is considered the design (image corresponding to a specific article) of the listed product.

2.7. The Seller reserves the right to amend this Agreement, notifying the Buyer in advance.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to accept the Goods and pay for them under the terms and conditions specified in this Agreement.

3.2. The Buyer is obligated to independently review the terms of this Agreement. The Seller is not obligated to additionally or otherwise inform the Buyer about the Agreement except by publishing it on the auroralilot.com.ua website.

3.3. By concluding this Agreement, the Buyer confirms they are familiar with the information about the Goods sold under the terms of this Agreement, including their shape, size, appearance, design, color, size, quality, material characteristics, and manufacturer details. The Buyer understands and agrees to purchase the Goods with these characteristics.

4. Price of Goods and Payment Terms

4.1. The price of each item is listed on the auroralilot.com.ua online store website.

4.2. The Seller reserves the right to unilaterally change the price of any item.

4.3. In the event of a price change for ordered Goods, the Seller must inform the Buyer of the price change.

4.4. The Buyer may confirm or cancel the Order for the Goods if the Seller changed the price after the Order was placed, provided that the manufacturing process for the items has not yet begun or under other terms agreed upon with the Seller.

4.5. The Seller is prohibited from changing the price of Goods already paid for by the Buyer.

4.6. The Seller indicates the delivery cost of the Goods on the auroralilot.com.ua online store website or informs the Buyer during the order placement process by the Operator.

4.7. The Buyer’s payment obligations for the Goods are deemed fulfilled once the Seller receives the funds in full.

4.8. Payments between the Seller and the Buyer for the Goods are conducted in Ukrainian currency (hryvnia) using the methods indicated on the auroralilot.com.ua online store website.

5. Rights and Obligations of the Parties

5.1. Obligations of the Seller
The Seller agrees to:

  1. Fully fulfill all obligations to the Buyer from the moment this Agreement is concluded, following the terms outlined in the Offer and the Agreement.
  2. Execute the delivery of Goods as chosen by the Buyer.
  3. Comply with all other requirements provided by the Agreement and current Ukrainian legislation.

5.2. Rights of the Seller
The Seller has the right to:

  1. Require the Buyer to fulfill the obligations stipulated in this Agreement.
  2. Modify the appearance, design, and technical specifications of the Goods without prior agreement with the Buyer, provided such changes improve the consumer properties of the Goods.

5.3. Obligations of the Buyer
The Buyer agrees to:

  1. Pay for and receive the Goods promptly under the terms of this Agreement.
  2. Perform all necessary actions required to receive the Goods as specified in this Agreement.

5.4. Rights of the Buyer
The Buyer has the right to:

  1. Require the Seller to fulfill the obligations stipulated in this Agreement.
  2. Refuse the Goods prior to their transfer.
  3. Request a refund in the case of Goods return.

6. Delivery and Transfer of Goods to the Buyer

6.1. Delivery
Delivery of the Goods is carried out by the Seller or a third party (courier service or other transport company) across the territory of Ukraine.

6.2. Timing
The Seller ensures delivery within the timeframes specified on the website or agreed upon with the Buyer when placing the order.

  • Order processing typically takes 1-2 days if the product is in stock. If the product is not in stock, processing may take 5-12 days.

 

  • Once your order is shipped, you will receive a confirmation email with tracking details.
  • To track your order, use the tracking link provided in the delivery confirmation email.
  • Delivery times vary by region and Nova Poshta’s workload but usually range between 1 to 3 business days.

 

6.3. Transfer of Goods
The Seller undertakes to transfer the Goods to the Buyer following their order and the delivery terms agreed upon by the parties.

6.4. Inspection Upon Receipt
The Buyer is obligated to inspect the integrity of the packaging and check for mechanical damage upon receiving the Goods. In case of damages, the Buyer has the right to refuse to accept the Goods.

6.5. Risk Transfer
From the moment the Buyer signs the acceptance documents, the risk of accidental loss or damage to the Goods transfers to the Buyer.

7. Claims and Return of Goods

7.1. Return Conditions
The Buyer has the right to return the Goods to the Seller within 14 days of receipt, provided the Goods have not been used, retain their marketable appearance and consumer properties, and are accompanied by the document confirming the purchase.

  • Note: The Seller reserves the right to deny returns for Goods included in the "List" of non-refundable or non-exchangeable non-food products of proper quality. For more details, see the "Shipping and Returns" section, which forms an integral part of this Agreement.

7.2. Return Procedure
To return the Goods, the Buyer must:

  • Contact the Seller to notify them of the intention to return the Goods.
  • Obtain approval from the Seller.
  • Send the returned Goods to the Seller.

7.3. Quality Claims
Claims regarding product quality, mechanical damage, or manufacturing defects must be submitted in writing and will be reviewed within the timeframe established by Ukrainian legislation.

8. Confidentiality and Data Protection

8.1. Use of Personal Information
The Buyer’s personal information is used solely to fulfill the terms of this Agreement.

8.2. Confidentiality
The Seller agrees not to disclose information about the Buyer, except as required by Ukrainian law.

8.3. Consent to Data Processing
The Buyer consents to the processing of their personal data by the Law of Ukraine "On Personal Data Protection" and agrees to its use as outlined in this Agreement.

9. FORCE MAJEURE CIRCUMSTANCES

9.1. The Parties shall be released from liability for failure to fulfill their obligations under the Agreement in the event of force majeure circumstances such as war, natural disasters, fires, strikes, changes in Ukrainian legislation, and other similar circumstances.

9.2. The Party experiencing force majeure circumstances must immediately notify the other Party of the occurrence of such circumstances and their impact on the fulfillment of obligations under the Agreement.

10. FINAL PROVISIONS

10.1. This Agreement remains effective until the Parties fully fulfill their obligations.

10.2. All disputes and disagreements that may arise under this Agreement shall be resolved through negotiations, and if resolution is not possible, through judicial procedures following the legislation of Ukraine.

10.3. The Seller reserves the right to amend this Agreement by notifying the Buyer through the publication of a new version of the Agreement on the website auroralilot.com.ua.
